1. Subject of the Agreement
1.1. The Provider renders digital audience engagement services and increases awareness of the Client’s product/service on Telegram using AI agent Orwell.
1.2. The Client accepts and pays for the Services in accordance with the terms of this Agreement and the parameters specified in the invoice ("Invoice").
1.3. The Invoice is an integral part of the Agreement and specifies:
a) the selected Service Package;
b) the Package price;
c) the cost of AI agent setup and launch (if applicable);
d) the cost of messages exceeding the Package (if applicable);
e) the currency and payment method;
f) the reporting period.

2. Provision of Services
2.1. The Provider shall:

3.3. If the Client does not submit written objections within 5 business days, the Services are deemed accepted.

4. Rights and Obligations of the Parties
The Provider undertakes to:
- render the Services using reasonable efforts;
- refrain from posting unlawful, harmful, offensive, or NSFW content;
- comply with Telegram rules and the rules of the relevant communities.

- refrain from requesting actions that violate applicable laws and Telegram rules;
- pay Invoices in a timely manner.
5. Liability
5.1. The Provider does not guarantee commercial results (sales, conversions, ROI, etc.).
5.2. The Provider shall not be liable for indirect losses; the aggregate liability is limited to the amount actually paid by the Client.

6. Intellectual Property
All rights to AI agent Orwell and the messages generated by it belong to the Provider.

7. Term and Termination
7.1. The Agreement enters into force upon payment of the Invoice.
7.2. The unused volume of the Package is non-refundable unless otherwise provided by this Agreement.
7.3. If the Provider has rendered less than 20% of the agreed volume of Services, it shall recalculate and refund the Client the amount less the cost of the Services actually rendered.

8. Governing Law and Disputes — UNIDROIT
8.1. The Agreement is governed by the UNIDROIT Principles of International Commercial Contracts, without application of any national substantive law.

8.3. If no agreement is reached within 30 days, the dispute shall be referred for final resolution to an independent expert.

9. Communications
Documents sent by email or via Telegram channels specified in the Invoice shall have legal force and shall be deemed received at the time of sending.
10. Acceptance of the Offer
Payment of the Invoice constitutes acceptance of the Offer and conclusion of the Agreement.
